Brenning focuses her practice primarily in commercial transactions, real estate law and matters involving the Uniform Commercial Code.  She joined Kegler Brown in 2001.

Real Estate & Finance
Mary advises clients in a wide array of real estate issues.  She represents lenders and borrowers in loan closings involving construction and permanent financing by negotiating and preparing notes, loan agreements, and related documents.  In addition, she is skilled in the negotiation and preparation of commercial real estate purchase agreements, deed restrictions and restrictive easements.  Mary is also experienced in the negotiation and drafting of lease agreements, including retail and office space and cell tower sites.  Additionally, she analyzes title commitments and surveys, and counsels clients in 1031 real estate exchanges, due diligence matters related to transactions, and more.

Business
In corporate law matters, Mary advises clients in all issues related to entity selection and formation and prepares their codes of regulation, operating agreements, or partnership agreements.  She is also experienced in the negotiation and drafting of acquisition documents for both buyers and sellers and the procurement and transfer of letters of credit.  Mary analyzes the Uniform Commercial Code and mortgage lien priority issues in sale and loan transactions and in bankruptcy workouts.
